Terms of Service

These Terms of Service ("Terms") govern access to and use of Onvert's website, dashboard, APIs, SDKs, and related services (together, the "Service"). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. The Service is intended for business and professional use.
2. The Service
Onvert provides tools to design, publish, measure, and optimize mobile onboarding and paywall experiences remotely. Features may change over time as we improve the product. Early access, beta, or waitlist features may be incomplete, change without notice, or be withdrawn.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
3. Accounts
You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account and for users you invite to your workspace. Notify us promptly if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or pose a security or legal risk.
4. Acceptable use
You agree not to:
- Use the Service for unlawful, deceptive, abusive, or harmful purposes.
- Attempt to gain unauthorized access to the Service, other accounts, or related systems.
- Interfere with or disrupt the Service, scrape it at unreasonable volumes, or reverse engineer it except where applicable law permits.
- Upload malware or content that infringes others' intellectual property, privacy, or other rights.
- Misrepresent your identity, app, or commercial relationship with Onvert.
- Use the Service to violate app store policies, advertising rules, or privacy laws applicable to your apps or end users.
5. Your content and apps
You retain ownership of content, flows, branding, copy, media, and configuration you submit to the Service ("Customer Content"). You grant Onvert a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to provide, maintain, and improve the Service. You are responsible for Customer Content and for ensuring your use of Onvert in your apps complies with app store rules, privacy laws, and your own user-facing policies.
End-user onboarding answers and in-app purchases remain under your control as described in our product documentation and Privacy Policy. Onvert does not process your end users' store payments on your behalf.
6. Feedback
If you provide ideas, suggestions, or feedback about the Service, you grant Onvert a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.
7. Intellectual property
Onvert and its licensors own the Service, including software, design, trademarks, logos, and documentation. These Terms do not transfer any ownership to you. You may not use Onvert branding in a way that suggests endorsement without our prior written consent.
8. Third-party services
The Service may integrate with or rely on third-party platforms (for example hosting, authentication, analytics, billing providers, or app stores). Those services are governed by their own terms and privacy policies. Onvert is not responsible for third-party services you choose to use alongside Onvert.
9. Fees and billing
Paid plans, credits, or usage-based fees (if offered) will be described at purchase or in your order. Fees are generally non-refundable except where required by law or expressly stated by us. Taxes may apply based on your location. We may change pricing with reasonable notice for renewals or new purchases. Failure to pay may result in suspension or termination of paid features.
10. Availability and changes
We aim to keep the Service available, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice where practicable. We are not liable for downtime caused by maintenance, outages beyond our reasonable control, or your own systems, networks, or third-party integrations.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your requirements or that results from using it will be accurate or reliable. Nothing in these Terms excludes rights that cannot be excluded under applicable law.
12. Limitation of liability
To the maximum extent permitted by law, Onvert and its directors, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from or related to your use of the Service, even if advised of the possibility of such damages. Our aggregate liability for claims relating to the Service in any twelve-month period will not exceed the greater of (a) the amounts you paid us for the Service in that period, or (b) one hundred US dollars (USD $100), except where liability cannot be limited by law.
13. Indemnity
You will defend and indemnify Onvert against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your Customer Content, your apps, your end users, your use of the Service, or your breach of these Terms, except to the extent caused by our willful misconduct.
14. Export and sanctions
You may not use or export the Service in violation of US export control or sanctions laws, or other applicable trade restrictions. You represent that you are not prohibited from receiving the Service under those laws.
15. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or if we must do so for legal or security reasons. Upon termination, your right to use the Service ends. Provisions that by their nature should survive (including ownership, feedback license, disclaimers, liability limits, indemnity, and governing law) will survive.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, except where mandatory consumer protections in your country of residence require otherwise. Subject to those mandatory protections, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
17. General
These Terms, together with the Privacy Policy and any order or plan terms presented at purchase, are the entire agreement between you and Onvert regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Headings are for convenience only.
18. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date will change when we do. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms, except where applicable law requires additional notice or consent.
